Terms & Conditions

1. Scope
These Terms & Conditions apply to all quotations, orders, and deliveries between Ningbo Yinzhou Yingfa Hardware Co., Ltd. (trading as Winvera, hereinafter “we”) and business customers (“you”). We supply exclusively to businesses (B2B); we do not contract with consumers.
2. Quotations & Technical Documents
Our quotations are non-binding unless expressly stated otherwise and are valid for 30 days. All drawings, specifications, and technical documents we provide remain our property and may not be copied or passed on without our written consent.
3. Orders & Conclusion of Contract
A contract is concluded when we confirm your order in writing (order confirmation). Please check the confirmation immediately; deviations must be reported within 2 business days. For custom products, the confirmed drawing becomes binding.
4. Prices, Taxes & Payment
Prices are net, EXW our warehouse (Incoterms 2020), excluding VAT, duties, freight, and insurance unless stated otherwise.
Payment terms: [30 days net from invoice date] for approved accounts; first orders may require payment in advance. We reserve the right to request advance payment or security.
5. Retention of Title
Goods remain our property until all amounts due under the business relationship are paid in full.
6. Delivery, Lead Times & Force Majeure
Indicated lead times are estimates and begin upon order confirmation and receipt of all required information. Force majeure (including shortages of material or energy, transport disruptions, and export restrictions) releases us from delivery obligations for its duration. Partial deliveries are permitted where reasonable.
7. Inspection & Complaints
Inspect the goods immediately upon receipt. Visible defects must be reported in writing (with photos) within 7 days; hidden defects within 7 days of discovery. Unreported goods are deemed approved.
8. Warranty & Exclusions
Warranty period: 12 months from delivery. Excluded from warranty: normal wear, damage from misuse or improper machine conditions, tools that have been reground or altered, and deviations within tolerance or specification. In case of a justified claim, we will, at our choice, repair, replace, or credit the goods.
9. Custom & OEM Products
You are responsible for the correctness and legal use of the drawings, logos, and specifications you provide. Custom production cannot be cancelled once it has started. Samples must be approved in writing before series production.
10. Intellectual Property
Tools, designs, and know-how we create remain our intellectual property. By providing drawings or designs, you confirm you are entitled to use them and grant us the right to use them for your order.
11. Liability
Our liability is limited to the order value of the goods concerned, except for intent, gross negligence, injury to life/body/health, or liability that cannot be excluded by law. We are not liable for indirect or consequential damages, loss of production, or loss of profit.
12. Governing Law & Jurisdiction
These terms are governed by the laws of China. Exclusive place of jurisdiction for all disputes is Ningbo, unless mandatory law provides otherwise. The UN Convention on Contracts for the International Sale of Goods (CISG) is excluded.
